Welcome to Software Ventures International (SVI). These Terms & Conditions ("Terms") govern your access to and use of SVI's websites, products, services, and communications, including SMS messaging programs (collectively, the "Services"). By accessing, using, or opting into any of our Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms specific to certain features. If you do not agree, please do not use our Services.
These Terms form a binding legal agreement between you and SVI, a company registered in the Philippines with its principal office at 22nd Floor, Antel Global Corporate Center, Doña Julia Vargas Avenue, Pasig City, Philippines 1600. You must be at least 18 years old or the age of majority in your jurisdiction to use our Services.
1. Description of Services
SVI provides software solutions, consulting, and related services, including digital platforms, account management, transaction processing, and optional SMS communications for security advisories and service notices. Our Services may include:

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, for maintenance, security, or business reasons.
2. User Accounts and Responsibilities
To access certain Services, you may need to create an account. You agree to:

You are responsible for all activities under your account. We may suspend or terminate your access if we suspect misuse or violation of these Terms.
3. Data Collection, Use, and Sharing
Your use of the Services involves the collection and processing of personal information as outlined in our Privacy Policy. By using the Services, you consent to such collection and use for the purposes described therein, including:

4. Intellectual Property
All content on our websites and in our Services, including text, graphics, logos, software, and data (collectively, "SVI Materials"), is owned by SVI or its licensors and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, revocable license to access and use the SVI Materials for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works without our prior written consent.
If you provide feedback, suggestions, or content to us, you grant SVI a perpetual, royalty-free license to use it for improving our Services.
5. SMS Opt-In Program
By opting into our SMS program (via checkboxes or consent on our web form), you agree to receive messages from SVI at the mobile number provided. This is optional and not a condition of purchase or services.
Types of Messages
You may receive the following types of messages based on the categories you select:

Your mobile number and opt-in data will be used solely for communication related to the services or campaigns you have subscribed to.

You may receive up to 3 messages per month.

You may opt out of receiving service-related text messages at any time by replying STOP to any message.

Data Sharing for SMS
We do not share, sell, or disclose your mobile number or messaging consent data with any third party for marketing or promotional purposes. Any sharing with trusted service providers (such as SMS gateways) is strictly limited to message delivery and governed by confidentiality and data protection agreements.
You may withdraw consent at any time, subject to legal obligations.
6. Prohibited Conduct
You agree not to:

Use the Services for illegal activities, harassment, or to impersonate others.

Attempt to gain unauthorized access to our systems or interfere with the Services.

Collect or harvest data from the Services without permission.

Violate any third-party rights or applicable laws.
We may report violations to authorities and take legal action as necessary.
7. Security and Data Protection
We prioritize the security of your information using technological, procedural, and employee training measures, including encryption, access controls, and monitoring. 8. User Rights
You have the rights outlined in our Privacy Policy, including:

9. Limitations of Liability
To the fullest extent permitted by law, SVI, its affiliates, and partners disclaim all warranties, express or implied, including for merchantability or fitness for a particular purpose. The Services are provided "as is."
SVI is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility. Our total liability shall not exceed the amount you paid us in the past 12 months (or PHP 1,000 if no payment).
We are not responsible for third-party content, links, or services accessed via our platforms.
10. Indemnification
You agree to indemnify and hold SVI harmless from any claims, losses, or damages arising from your violation of these Terms, misuse of the Services, or infringement of third-party rights.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Pasig City, Metro Manila.

12. Changes to These Terms
We may update these Terms periodically to reflect changes in our Services, laws, or practices. We will notify you via our website, email, or SMS (if opted in). Continued use after changes constitutes acceptance. Review this page regularly.

13. Miscellaneous

Severability: If any provision is invalid, the remainder remains enforceable.

Entire Agreement: These Terms, with the Privacy Policy, constitute the full agreement.

No Waiver: Our failure to enforce a right does not waive it.

Force Majeure: We are not liable for delays due to events beyond our control (e.g., natural disasters, strikes).
